- "Client" refers to any individual or business that engages our services.
- "Services" refers to the digital marketing, SEO, PPC, web development, and related services we provide.
- "Agreement" means the contract between us and the Client, comprising these Terms and any specific service agreement or proposal.
- "Website" means therankingexperts.co.uk and all associated pages.
4. Use of Our Website
By using our Website, you agree:
- Not to use the Website in any way that is unlawful, fraudulent, or harmful.
- Not to attempt to gain unauthorised access to any part of the Website or its servers.
- Not to introduce viruses, trojans, or other malicious material.
- That all content on the Website is owned by or licensed to us and may not be reproduced without permission.

5. Our Services

6. Fees and Payment
- Fees for our services are set out in the Service Agreement or Proposal and are subject to VAT at the prevailing rate.
- Unless otherwise agreed, setup fees are payable before work commences, and recurring monthly fees are payable in advance.
- Ad spend budgets for PPC campaigns are paid directly to the advertising platform (e.g., Google Ads) and are separate from our management fees.
- Late payments may result in suspension of services. We reserve the right to charge interest on overdue invoices at the rate of 4% above the Bank of England base rate.
7. Cancellation and Termination
- All our services operate on a rolling monthly basis with no long-term lock-in contracts, unless otherwise stated in writing.
- Either party may cancel a service by providing 30 days' written notice.
- We reserve the right to terminate services immediately if the Client breaches these Terms or fails to make payment.
- Upon termination, the Client shall pay all outstanding fees due up to the date of termination.
8. Client Obligations
The Client agrees to:
- Provide accurate and complete information necessary for us to perform the services.
- Grant us access to relevant accounts (e.g., Google Business Profile, Google Ads, website hosting) where required.
- Obtain all necessary permissions and licences for any content or materials provided to us.
- Not engage in any activity that could harm the Client's own search engine rankings, such as using other services that conflict with our work without prior consultation.
9. Intellectual Property
- All intellectual property rights in the materials we create (including website designs, ad copy, reports, and strategies) remain our property until full payment has been received.
- Upon full payment, the Client is granted a non-exclusive, perpetual licence to use the deliverables for their own business purposes.
- The Client retains ownership of their own pre-existing content, branding, and data.
10. Limitation of Liability
- We will use reasonable skill and care in providing our services. However, we cannot guarantee specific rankings, traffic volumes, or lead volumes, as these depend on factors beyond our control (e.g., search engine algorithm changes, competitor activity).
- To the fullest extent permitted by law, our total liability for any claim arising out of or in connection with our services shall be limited to the total fees paid by the Client in the 12 months preceding the claim.
- We shall not be liable for any indirect, consequential, or special damages, including loss of profit, business interruption, or loss of data.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Data Protection
We process personal data in accordance with our Privacy Policy and the UK General Data Protection Regulation (UK GDPR).
By engaging our services, the Client consents to the processing of their data as described in the Privacy Policy.
12. Confidentiality
Both parties agree to keep confidential any information received from the other party that is marked as confidential or would reasonably be considered confidential.
This obligation survives termination of the Agreement.
13. Third-Party Platforms
Our services may involve the use of third-party platforms (e.g., Google Ads, Google Business Profile, WordPress).
We are not responsible for the actions, policies, or changes made by these third parties.
The Client agrees to comply with the terms and conditions of any third-party platforms used in connection with our services.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government restrictions, strikes, power failures, or internet outages.
15. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date.
Continued use of our Website or services after changes are posted constitutes acceptance of the revised Terms.
16. Governing Law and Jurisdiction
These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any claim or dispute.
